RINGLY TV CREATOR AGREEMENT

1. INTRODUCTION
This Creator Agreement ("Agreement") governs the relationship between Ring Ring Productions LLC, operator of Ringly TV ("Ringly TV," "the Platform," or "the Company"), and any individual or legal entity that publishes content on the Platform ("Creator").
By activating a creator account, uploading content, or participating in monetization programs, you agree to be legally bound by this Agreement.
This document supplements the Terms of Service and other policies published by Ringly TV.
2. ELIGIBILITY
To participate as a creator you must:
Be at least eighteen (18) years old.
Have the legal capacity to enter into contracts.
Provide truthful and up-to-date information.
Comply with the applicable laws of your country of residence.
Companies, organizations, or studios must act through an authorized representative.
3. CONTENT OWNERSHIP
The Creator retains all intellectual property rights in the works they publish on Ringly TV.
Nothing in this Agreement implies:
Assignment of copyright.
Transfer of intellectual property.
Sale of exclusive rights.
The Creator may exploit their works outside of Ringly TV through:
Television.
Film.
Publishers.
Distributors.
Digital platforms.
Commercial licenses.
Merchandising.
or any other means of distribution.
4. LICENSE GRANTED TO RINGLY TV
To operate the Platform, the Creator grants Ring Ring Productions LLC a license that is:
Worldwide.
Non-exclusive.
Revocable.
Transferable to necessary technology providers.
Free of additional royalties.
The license allows Ringly TV to:
Store the content.
Convert technical formats.
Generate thumbnails.
Create optimized versions.
Distribute via streaming.
Publicly display within the Platform.
Include reasonable promotional screenshots or clips for Ringly TV marketing.
The license remains in effect for as long as the content is available on the Platform.
5. MONETIZATION PROGRAMS
Participation in monetization programs is optional.
Ringly TV may offer various revenue models, including:
Subscription revenue sharing.
Advertising.
Digital sales.
Rentals.
Premium events.
Tips.
Sponsorships.
Special creator programs.
Availability may vary by country, content category, or activity level.
6. REVENUE SPLIT
Unless otherwise agreed in writing, the initial percentages will be:
70% for the Creator.
30% for Ringly TV.
The calculation will be based on consumption metrics, watch time, and other factors defined by the Platform.
55% for the Creator.
45% for Ringly TV.
95% for the Creator.
5% for Ringly TV.
Excludes fees charged by external payment processors.
80% for the Creator.
20% for Ringly TV.
Calculated on the net revenue actually received.
Ringly TV may modify these percentages in the future by giving creators prior notice.
7. PAYMENTS
Accumulated earnings will be settled monthly.
General conditions:
Minimum payout: USD $25.
Lower amounts will roll over to subsequent cycles.
Reports will be available in the Earnings dashboard.
Payments may require additional verification.
Available payment methods may include:
Bank transfer.
PayPal.
Stripe Connect.
Wise.
Other authorized providers.
8. TAX DOCUMENTATION
Before receiving payments, the Creator must provide the documentation required by applicable law.
As applicable:
Form W-9.
Form W-8BEN.
W-8BEN-E.
Local tax identification number.
Valid banking information.
The Creator is responsible for declaring and paying their own taxes.
9. CREATOR WARRANTIES
The Creator represents and warrants that:
They own the necessary rights.
They hold valid licenses for any third-party materials included.
They have authorization from identifiable individuals appearing in the content where necessary.
They do not infringe copyright, trademarks, patents, or image/publicity rights.
The content complies with applicable laws.
10. PROHIBITED CONTENT
Content may not be monetized if it includes:
Illegal material.
Child sexual abuse material.
Gratuitous extreme violence.
Terrorism.
Fraud.
Disinformation intended to cause harm.
Malware or malicious software.
Copyright infringement.
Content that is deceptive or manipulated to commit crimes.
Ringly TV may immediately remove such content.
11. MODERATION AND REVIEW
All content may be reviewed before or after publication.
The Platform may:
Approve.
Reject.
Request modifications.
Demonetize.
Temporarily suspend.
Remove content.
Where reasonably possible, the Creator will be notified of the reason.
12. COPYRIGHT CLAIMS
If a third party files a valid copyright claim:
The content may be temporarily removed.
Associated payments may be withheld.
Additional documentation may be requested.
Repeat infringers may permanently lose access to the creator program.
13. INDEMNIFICATION
The Creator agrees to defend and indemnify Ring Ring Productions LLC against claims arising from:
Copyright infringement.
Trademark infringement.
Unauthorized use of image or voice.
Breach of this Agreement.
Illegal conduct related to the published content.
14. LIMITATION OF LIABILITY
Ringly TV does not guarantee:
Any minimum level of income.
Any minimum number of views.
Placement in recommendations.
Commercial success of the content.
The Company will not be liable for indirect economic losses or unmet revenue expectations.
15. TERMINATION
The Creator may close their account at any time.
Ringly TV may suspend or terminate the account for:
Serious violations of the Agreement.
Fraud.
False information.
Illegal activities.
Repeated copyright infringement.
After termination:
The content will no longer be distributed.
Financial records will be retained as required by law.
Pending payments may be withheld until necessary audits are completed.
16. AUDIT AND RECORDS
Ringly TV may retain:
Playback records.
Monetization data.
Payment history.
Activity logs.
for the period required by applicable law.
17. AMENDMENTS TO THE AGREEMENT
Ringly TV may update this Agreement.
Material changes will be notified through:
Email.
In-platform notices.
Publication in the Legal Center.
Continued use of the creator program constitutes acceptance of the changes.
18. GOVERNING LAW
This Agreement is governed by the laws of the State of North Carolina, United States of America.

20. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between Ring Ring Productions LLC and the Creator regarding the publication and monetization of content on Ringly TV.
